Terms of Service

1. Acceptance of terms

These Terms of Service (the “Terms”) govern your access to and use of BuildersBridge, a construction management platform operated by BuildersBridge (Brainfy AI Inc.)(“BuildersBridge,” “we,” “us,” or “our”). By creating an account or using the service, you agree to be bound by these Terms. If you are using the service on behalf of a business, you represent that you are authorized to bind that business.

2. The service

BuildersBridge provides software to help builders and contractors manage leads, estimates, projects, crews, clients, invoices, and documents, including AI-assisted features. We may add, change, or remove features over time. We provide the service on an ongoing basis but do not guarantee that it will be uninterrupted or error-free.

3. Accounts and eligibility

You must be at least the age of majority in your province, territory, or state and able to enter a binding contract to use the service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

4. Subscriptions and billing

Paid plans are billed on a recurring basis, monthly or annually, depending on the plan you select. Canadian customers are billed in Canadian dollars (CAD) and US customers in US dollars (USD). The following apply:

• Fees and taxes. Prices are exclusive of applicable taxes (such as GST, HST, or PST in Canada, or state and local sales tax in the United States), which will be added where required.
• Free trials. Where offered, a free trial lets you evaluate the service for the stated period. Unless you cancel before the trial ends, your subscription may convert to a paid plan.
• Renewals. Subscriptions automatically renew for the same term until cancelled.
• Cancellation. You may cancel at any time, effective at the end of your current billing period. Except where required by law, fees already paid are non-refundable.
• Changes. We may change pricing with reasonable advance notice; changes take effect on your next renewal.

5. Acceptable use

You agree not to use the service to:

• Violate any applicable law or regulation, or infringe the rights of others.
• Upload malicious code or attempt to disrupt or compromise the service.
• Gain unauthorized access to any account, system, or data, or probe or scan our infrastructure.
• Send unlawful, unsolicited, or CASL-non-compliant messages using the service.
• Resell, sublicense, or misrepresent the service, or use it to build a competing product.

6. Your data and ownership

You retain all rights to the business and project data you and your users enter into the service (“Customer Data”). You grant us a limited licence to host, process, and display Customer Data solely to provide and improve the service and as described in our Privacy Policy. You are responsible for ensuring you have the rights necessary to upload and use Customer Data, including data about your clients and crew. You can export your data, and we will make reasonable efforts to allow retrieval for a limited period after cancellation.

7. Intellectual property

The BuildersBridge platform, including its software, design, branding, and content we provide, is owned by us or our licensors and is protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. No rights are granted except as expressly stated here.

8. Disclaimers

The service is provided “as is” and “as available,” without warranties of any kind, whether express or implied, to the fullest extent permitted by law. AI-generated output — including estimates, scopes, and summaries — is provided to assist you and may contain errors. You are responsible for reviewing and verifying all output before relying on it. We do not provide legal, tax, accounting, or professional advice.

9. Limitation of liability

To the maximum extent permitted by law, BuildersBridge and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the service. Our total aggregate liability for any claim relating to the service will not exceed the amount you paid to us for the service in the twelve months preceding the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

10. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Alberta, Canada for any dispute arising out of or relating to these Terms or the service, except where applicable law provides otherwise. If you are a customer in the United States, you may also be subject to applicable US federal and state law, and certain mandatory consumer protections of your state may apply regardless of the governing law stated above.

11. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will update the “last updated” date above and, where appropriate, notify you. Your continued use of the service after changes take effect constitutes acceptance of the revised Terms.
